Before incorporating

Three questions that prevent problems later

  • Who is liable for the debts? In partnerships the partners are liable with their personal assets; in an SRL, unless personal sureties are given, the risk is limited to the capital.
  • How does money come out of the company? Director's pay, dividends and reimbursements carry different tax and contribution costs: it should be decided at the outset.
  • What happens if a partner leaves? Pre-emption clauses, approval clauses and share valuation rules cost little today and a great deal later.

The questions that keep coming up about companies

How far ahead of the filing do you need the documents for the financial statements?

The financial statements are built during the year, with the accounts updated month by month. If the entries are in order, closing the year only needs the final documents: year-end bank statements, inventory, invoices to be received or issued, contracts in progress.

That is why the pre-closing starts in the first months of the year: there is time to recover what is missing, discuss the draft with the director and reach the shareholders' meeting without rushing. The next steps are on the page about filing the financial statements.

What happens if the accounting records arrive late?

VAT settlements and payments do not wait: if invoices and bank statements arrive late, the settlements are made with incomplete data and then have to be corrected, with penalties and interest. Interim reports also lose their value, because they describe a company different from the real one.

If the delay has already happened, it is put right with the ravvedimento operoso, which costs less the sooner you act. If the delay is habitual, it is worth reviewing the flow of documents together: often a shared cloud platform is enough.

How does the switch from another accountant work?

The change is made without interrupting the obligations. The practice asks the previous professional for the company's documents: filed financial statements, tax returns, registers, general journal and an accounting position at the date of the handover. The handover is required by law and normally takes place without problems.

The switch is simpler after a financial year has closed, but it can also be done mid-year, checking what has already been done and what is still outstanding. The details are on the page about switching accountant.

Do you also follow a single-member SRL or a company that has just been set up?

Yes. A single-member SRL has the same obligations as an SRL with several shareholders: ordinary accounting, financial statements, filing with the Registro Imprese, tax returns. What changes is the amount of work, and therefore the fee, sized on the actual activity.

How is the relationship handled during the year?

The annual fee includes ordinary assistance: questions about invoices, payments, how to treat a transaction. You write or call, and the answer arrives within the practice's usual times; in peak periods any longer wait is announced beforehand.

At agreed intervals you receive the interim reports with margin, estimated profit and a projection of taxes, so decisions are taken on the current year's figures. Deadlines are flagged weeks in advance, together with the list of documents to prepare.
